Terms of Service

Last updated: 4 September 2026 · Version 1.0

The terms on which Indexia Web provides SEO and web development services. Written plainly, because a client who cannot understand the terms cannot agree to them.

1Who these terms bind

These terms form the agreement between you (“the client”) and Indexia Web (“we”, “us”) whenever you order a service, unless we have signed a separate written agreement that says otherwise. Ordering a package, accepting a quote, or paying an invoice constitutes acceptance of these terms.

2The services

We provide technical SEO, on-page SEO, keyword research, content creation, website speed optimisation and backlink strategy, as described on this website. Services are supplied either as one-off packages at the prices published, or under a monthly plan.

We provide services to businesses. If you are purchasing as a consumer rather than in the course of a business, mandatory consumer protection rules in your country may give you rights that these terms cannot reduce, and those rights take precedence.

3Quotes and scope

Published package prices apply within the limits stated on each package — number of pages, URLs, keywords or competitors. Work beyond those limits is quoted separately before it begins.

Every engagement has a written scope agreed before work starts. If you ask for work outside that scope, we will tell you the additional cost and wait for your approval rather than proceeding and adding it to the invoice.

A quote is valid for 30 days.

4Access and your obligations

To deliver the service you agree to provide, promptly:

  • The access we specify — typically a WordPress administrator account, hosting or SFTP access, and read access to Search Console and Analytics.
  • Accurate information about your business, products and target market.
  • Feedback and approvals within a reasonable time.

We will never ask for payment gateway credentials, and you should not provide them.

You confirm that you own or are authorised to grant access to the website in question, and that any material you supply does not infringe anyone else’s rights.

Where a delay in providing access or feedback extends the timeline, the stated delivery period is extended accordingly. If we cannot proceed for more than 30 days because of a delay on your side, we may invoice for work completed to that point.

5Payment

  • One-off packages are payable in full before work begins.
  • Monthly plans are billed monthly in advance.
  • Larger projects quoted separately are payable 50% on acceptance and 50% on delivery.

All prices are stated in euros and exclude VAT or any other tax that may apply. Where tax is chargeable it will be added to the invoice at the applicable rate.

Bank charges or currency conversion costs on your side are yours to bear; the amount we receive must equal the invoiced amount.

Invoices are payable within 14 days. We may suspend work on overdue accounts after written notice.

6Monthly plans

Plans run month to month with no minimum term and no notice period. You may cancel at any time, effective at the end of the current billing month. We do not pro-rate a partial month.

Included development hours are per month. Unused hours roll over for one month only and are then lost. Hours cannot be exchanged for a discount or a refund.

We may change plan pricing with 30 days’ written notice. Existing clients keep their current price for at least 6 months from the date they joined.

7Audit fee credit

Where a page states that an audit fee is credited against your first month, that credit applies if you start a monthly plan within 30 days of the audit being delivered. It is applied once, to the first monthly invoice, and cannot exceed the value of that invoice or be paid out in cash.

The credit applies to one audit. If you purchase several audits, the highest single fee is credited.

8Cancellation and refunds

In summary: if work has not started you receive a full refund; if it has started you pay for what has been done and the balance is returned; and if we cannot deliver what was agreed you receive a full refund regardless of time spent.

Because the point at which "work has started" differs by service, the detail is set out separately in the Refund & Cancellation Policy, which forms part of these terms. Where this summary and that policy differ, the Refund & Cancellation Policy applies.

Monthly plans may be cancelled at any time and end at the close of the billing month already paid for. Partial months are not pro-rated.

If you are a consumer in the EU or UK, your statutory withdrawal rights are described in section 9 of that policy and are not reduced by these terms.

9Results and no guarantees

SEO outcomes depend on factors outside our control, including search engine algorithms, competitor activity, and how you operate your own website afterwards.

We do not guarantee rankings, traffic volumes or revenue, and any timeframe we give is an estimate based on experience rather than a promise. What we do commit to is performing the agreed work competently, reporting honestly on what changed, and telling you when something has not worked.

Where a specific measurable commitment is made in writing for a particular engagement, that commitment stands and is enforceable. Nothing in this section limits it.

10Intellectual property

What becomes yours

On full payment, all rights in the deliverables produced specifically for you — written content, code changes, configuration, audit reports and keyword research — transfer to you outright. There is no licence fee, no attribution requirement, and no clause allowing us to reuse your content elsewhere.

What stays ours

Our own methods, templates, checklists, internal tooling and general know-how remain ours. We may reuse them on other engagements. This does not include anything specific to your business.

Portfolio use

We may describe the work performed and cite anonymised metrics in a portfolio or case study. We will not name you, show your site, or publish identifiable figures without your written permission.

11Confidentiality

Each party agrees to keep the other’s non-public information confidential and to use it only for the purposes of the engagement. This survives the end of the agreement.

Where we process personal data on your behalf, the terms in our Privacy Policy apply, and we will sign a separate data processing agreement on request.

12Liability

We take reasonable care. Changes are built on a staging copy where practical, backups are taken before significant changes, and rollback procedures are in place.

Subject to the paragraph below, our total liability arising out of any engagement is limited to the amount you have paid us for that engagement in the 12 months preceding the claim. We are not liable for indirect or consequential loss, loss of profit, loss of revenue, loss of anticipated savings, or loss of data where you have not maintained your own backups.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded.

You remain responsible for maintaining your own backups of your website independently of any we take.

13Ending the agreement

Either party may end a monthly plan at any time, effective at the end of the current billing month.

Either party may end the agreement immediately, in writing, if the other commits a material breach and fails to remedy it within 14 days of being asked to.

We may decline or end an engagement where we are asked to carry out work we consider to breach search engine guidelines or applicable law. In that situation you pay for work performed and nothing further.

On termination you should revoke our access to your systems. We will delete credentials and any staging copies containing your data.

14Governing law

These terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Wyoming have exclusive jurisdiction, except that nothing here deprives a consumer of the protection of mandatory rules in their country of habitual residence.
